SMSC Announces Results of Annual Meeting of Stockholders
Hauppauge, New York - July 19, 2007 - SMSC (Nasdaq: SMSC) announced that at its July 17, 2007 Annual Meeting of Stockholders, the shareholders of SMSC elected Timothy P. Craig and Ivan T. Frisch as directors of SMSC to serve until the Company's 2010 Annual Meeting of Stockholders and ratified the selection of PricewaterhouseCoopers LLP as SMSC's independent registered public accounting firm.
SMSC also announced that, as an inducement to entering into employment with the Company, stock option and restricted stock grants covering an aggregate of 33,616 shares, all valued based on the closing price per share of SMSC common stock on July 17, 2007, were granted to 15 newly hired individuals in positions ranging from sales representative to manager. This notice of the aforementioned employment inducement stock option and restricted stock grants was made in accordance with Nasdaq Marketplace Rule 4350.
